This affiliation will, in most cases, result in the complete domination and control of the parent over the subsidiary and thus abuse its template. Now, given the acceptance of the principle of limited liability in corporate law, can the legal practices and actions created be attributed to the parent company as the controller of the legal relationship (between the subsidiary and third parties)? The US legal system, by resorting to the Alter Ego rule, has prevented such an abuse. The Alter Ego refers to the conditions that the courts exercise on the basis of Justice and Equity and thereby treat the parent company as the proprietor of the company or the real party to the benefit against good faith third parties. The basic conditions for applying this rule can be effective real ownership and control of the Alter Ego (the parent company) over the actions of the subsidiary, unity of interest and ownership between the two companies and unjustified actions of parent company. In the Iranian legal system, there is no explicit regulation in Trade Code in this regard. There is no specific solution in the case law as well. But it seems that by taking advantage of capacities of Imamiyah jurisprudence and domestic law such as The Swindle Rule, theRule of No Damage, the Theory of Agency, the Theory of Relative Independence of the Legal Personalityand other principles, this rule can be applied.}, keywords = {Alter Ego,Parent Company,Subsidiary company,control,Independence of the Legal Personality,USA Law}, title_fa = {اجرای قاعده اصیل واقعی در شرکت های مادر و تابعه: مطالعه تطبیقی در حقوق آمریکا، فقه امامیه و حقوق ایران}, abstract_fa = {چنانچه دو شرکت، از طریق حلقه های مدیریتی و اقتصادی، مرتبط و وابسته باشند، یکی شرکت مادر و دیگری شرکت تابعه نامیده می شوند. این وابستگی، در اغلب موارد، منجر به سلطه و کنترل کامل شرکت مادر بر شرکت تابعه و در نتیجه سوء استفاده از قالب آن خواهد شد. حال با توجه به پذیرش اصل مسئولیت محدود در حقوق شرکت­ها، آیا می توان اعمال و اقدامات حقوقی ایجاد شده را به شرکت مادر به عنوان کنترل کننده رابطه حقوقی( بین شرکت تابعه و اشخاص ثالث) منتسب نمود یا خیر؟ نظام حقوقی آمریکا با توسل به قاعده" اصیل واقعی" مانع چنین سوء استفاده­ای شده است.  اصیل واقعی، به شرایطی اشاره دارد که دادگاه­ها، بر مبنای عدالت و انصاف آن را بکار گرفته و از این طریق، اصیل مذکور را به عنوان مالک اموال شرکت یا طرف واقعی منفعت، در مقابل اشخاص ثالث باحسن نیت معرفی می­کنند. شرایط اساسی اجرای این قاعده را می توان، "سلطه و کنترل مؤثر اصیل واقعی ( شرکت مادر) بر اقدامات اصیل ظاهری ( شرکت تابعه)" اصیل  واقعی "وحدت منفعت و مالکیت بین این دو شرکت" و" ناعادلانه بودن اقدامات شرکت مادر" دانست. در ایران، قانون تجارت صراحتی در این خصوص ندارد. در رویه قضایی هم راه حل خاصی دیده نمی ­شود. ولی به نظر می ­رسد با بهره ­گیری از ظرفیت ­های فقه و حقوق چون " قاعده غرور"، " قاعده لاضرر"، "نظریه نمایندگی"، "نظریه استقلال نسبی شخصیت حقوقی" و دیگر اصول می توان این قاعده را اجرا کرد.}, keywords_fa = {اصیل واقعی,شرکت مادر,شرکت تابعه,کنترل,استقلال شخصیت حقوقی,حقوق آمریکا}, url = {https://csiw.qom.ac.ir/article_1651.html}, eprint = {https://csiw.qom.ac.ir/article_1651_d6932568ee538f8ef4dbd7abba94f51d.pdf} }
