This study, using a descriptive-analytical method and a comparative approach, and going beyond the mere comparison of legal texts, examines the regulations governing this institution in Bill 1403 of the Iranian Commercial Code and the French Law of June 25, 1991, and analyzes the points of convergence and divergence in areas such as the legal independence of the representative, the requirements for registering the contract, the non-competition clause, and the grounds for termination. The findings indicate that French law, relying on custom, judicial practice, and institutional independence, provides a flexible model for commercial agency, while Iran&#039;s Bill 1403 seeks to regulate contractual relations.<br /> Finally, by presenting a set of reform proposals including the formulation of executive regulations, the development of specialized arbitration institutions, the design of an electronic registration system, and the establishment of an independent supervisory authority, it is emphasized that the strategic exploitation of comparative experiences can pave the way for legal security and enhance the efficiency of this institution in the Iranian legal system. نهاد نمایندگی تجاری به‌مثابه یکی از ساختارهای بنیادین در تسهیل و انتظام‌بخشی به روابط تجاری، از جایگاهی محوری در نظام‌های حقوقی برخوردار است. این پژوهش با روش توصیفی‌ـ‌تحلیلی و رویکرد تطبیقی و فراتر از مقایسه صرف متون قانونی، مقررات ناظر بر این نهاد را در لایحه ۱۴۰۳ قانون تجارت ایران و قانون ۲۵ ژوئن ۱۹۹۱ فرانسه بررسی نموده و به تحلیل نقاط همگرایی و واگرایی در حوزه‌هایی چون استقلال حقوقی نماینده، الزامات ثبت قرارداد، شرط عدم رقابت و مبانی فسخ می‌پردازد. یافته‌ها حاکی از آن است که حقوق فرانسه با تکیه بر عرف ، رویه قضایی و استقلال نهادی، الگویی منعطف برای نمایندگی تجاری ارائه نموده، در حالی‌که لایحه ۱۴۰۳ ایران به‌دنبال انتظام‌بخشی روابط قراردادی است.<br /> در پایان، با ارائه مجموعه ای از پیشنهادهای اصلاحی شامل تدوین مقررات اجرایی، توسعه نهادهای داوری تخصصی، طراحی<br /> سامانه ثبت الکترونیکی و تأسیس مرجع نظارتی مستقل، بر این نکته تاکید می شود که بهره برداری راهبردی از تجارب تطبیقی، میتواند زمینه‌ساز امنیت حقوقی و ارتقاء کارآمدی این نهاد در نظام حقوقی ایران‌ گردد.
