شریعت اسلامی و قانون حاکم بر قراردادهای تجاری: تراژدی حقوقی یا تعامل نظام های حقوقی

چکیده

در دهه­های اخیر مطالعه‌ی ظرفیت­های حقوق اسلام در تجارت بین­الملل و بررسی تطبیقی کدهای رفتاری و اخلاقی تجاری مورد توجه قرار گرفته است. طرح دو قضیه‌ی «شامل بانک بحرین علیه شرکت داروسازی بکسیمکو» و «موسوی علیه شرکت بین­المللی با مسؤولیت محدود آر– ای بین­المللی» در مراجع قضایی انگلیس با ارجاع به شریعت سبب طرح این سؤال شده است که چگونه می­توان حقوق اسلام را به عنوان قانون حاکم در قلمروهای تجاری و رسیدگی به اختلافات تجاری و مالی برگزید؟ مقاله حاضر با مرور برخی از اصول و قواعد عام تجارت بین­الملل در اسلام نظیر اصل رضایت و آزادی تجارت و محدویت­های آن، و حمایت از بازرگانان، به تحلیل قرارداد تجاری میان مسلمانان و فلورانس در سال 1488 و دعوای شامل بانک بحرین و انتخاب شریعت اسلامی به عنوان قانون حاکم می­پردازد. مقاله با رویکردی تطبیقی به تبیین قواعد و کدهای اخلاقی و حقوقی تجاری در آموزه­های اسلام و مفاهیم مشابه آن در دیگر نظام­های حقوقی پرداخته است. برآیند این مطالعه آن است که در سطح داخلی مؤسسات حقوق تطبیقی در کشورهای اسلامی و در سطح بین­الملل بایسته است مراجعی مانند مجمع فقه اسلامی وابسته به سازمان همکاری اسلامی، اصول و قواعد تجاری اسلامی را به عنوان قواعد نمونه معرفی کنند. با این رهیافت انتخاب شریعت و حقوق اسلام به عنوان قانون حاکم تسهیل خواهد شد که خود گام مؤثری در تعامل میان نظام­های حقوقی غرب و اسلام در قلمرو تجارت خواهد بود.

Islamic Law (Sharia) as Applicable Law on Commercial Contracts: A Legal Tragedy or Interaction Between Legal Systems

Abstract 
Studies on Islamic law potential in international Commerce and Comparative research on ethical code of commerce have increased in recent decades. Two cases brought to English court titled, Shamil Bank of Bahrain v. BeximcoandMusawi v RE International (UK) Ltd (2007) raises the question of how the parties of contract could choose Islamic law to serve as applicable or proper law of the commercial contract and financial disputes. This article tries to review some rules and principles of Islamic Commercial law, such as principle of consent, foredoom of commerce and its limitations and protecting of merchants. It also analysesMamluk Commercial Treaty with Republic of Florence in 1488 and two recent cases brought to English courts based on Glorious Sharia as applicable law and governing law. For comparative study purposes, this article discuses legal and ethical code of commerce in Islamic teaching in order to introduce similar conception in other major legal system. The outcome of this study is that it is necessary for comparative law centers in Islamic countries and International Islamic Fiqh Academy at the Organization of Islamic Cooperation, to introduce Islamic commercial rule and principles in the model commercial law frameworks. This approach will facilitate choices of Islamic law as applicable law and considered a step toward interaction between Islamic and Western legal systems in the realm of commerce.
